This includes but is not limited to business data, datasets, processes, trade secrets, and project details. Confidentiality obligations survive the termination of any engagement.

6. Payment Terms

Payment terms will be outlined in the relevant project proposal or statement of work. Unless otherwise agreed, invoices are due within 14 days of issue. Late payments may incur interest at a rate of 1.5% per month on the outstanding balance. TabGenix Intellica Solutions reserves the right to suspend work on any project with overdue payments.

7. Limitation of Liability

To the maximum extent permitted by Australian law:

• TabGenix Intellica Solutions provides its website and services on an "as is" basis without warranties of any kind, whether express or implied
• We shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our website or services
• Our total liability for any claim arising from a project engagement shall not exceed the fees paid by you for that specific engagement
• Nothing in these Terms excludes or limits liability that cannot be excluded under Australian Consumer Law

8. Termination

Either party may terminate a project engagement by providing written notice as specified in the project agreement. Upon termination, the client shall pay for all work completed up to the date of termination. TabGenix Intellica Solutions reserves the right to suspend or terminate website access for any user who violates these Terms.

9. Indemnification

You agree to indemnify and hold harmless TabGenix Intellica Solutions, its directors, employees, and agents from and against any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms or misuse of our website or services.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.
